Terms and conditions

These general terms and conditions of sale ("GTC") are established between the company Ostora ("Ostora" or "the Seller") and any individual or entity ("Client(s)") making a subscription purchase ("Subscription(s)") on the Ostora website ("Site") or any related website owned or operated by Ostora ("Sites"). The GTC aim to govern the relationship between Ostora and the Client subscribing to a service offered on the Site.

Preamble

Ostora provides its users ("User(s)") access to an all-in-one e-commerce solution, enabling the seamless launch and management of online stores. By using the Site, Users agree to abide by these GTC each time they visit or interact with the Site. Any Subscription purchase implies the User’s full and unconditional acceptance of these GTC.

Article 1 – Definitions

The terms used in these GTC have the following meanings:

• Subscription: Any subscription offered on the Site and purchased by the Client.
• Client: Any adult individual or legal entity that creates an account and registers for Ostora’s services.
• Order: The Client's formal request for one or more Subscriptions, made through the electronic means provided on the Site.
• Account: The private section of the Site associated with the Client's login credentials, used for managing Subscriptions and Orders.
• Content: Any material, including text, images, videos, and software, accessible on the Site.
• Products and Services: Any product or service sold by a Subscriber through the platform provided by Ostora.
• Site: The website named "Ostora," including all services and features offered to Users.

Article 2 – Scope of Application

These GTC apply to all Subscription sales made by Ostora to Clients. By placing an Order on the Site, the Client acknowledges having read and accepted these GTC without reservation. Ostora reserves the right to modify these GTC at any time, with changes becoming binding once published on the Site.

Article 3 – Subscriptions 3.1 Characteristics of Subscriptions

The details of each Subscription are available on the Site at the time of the Order. Each Subscription includes a description of its essential characteristics, including trial periods, license numbers, features, billing options, and pricing.

3.2 Duration of the Subscription

Subscriptions are provided for the duration specified in the Order Form, in accordance with the selected plan ("Subscription Term").

3.3 Subscription Fees

The Client is required to pay the applicable fees based on the Subscription plan chosen. Payments are made via credit card, and fees are non-refundable. Ostora reserves the right to modify fees, with changes taking effect upon renewal of the Subscription.

3.4 Subscription Update

Clients can upgrade their Subscription during the term, with additional fees charged accordingly. The original Subscription start date remains unchanged.

3.5 Excessive Use of the Subscription

Ostora reserves the right to adjust pricing or impose restrictions on usage if the Subscription is used excessively compared to standard use.

3.6 Automatic Renewal of the Subscription

Subscriptions include an automatic renewal option. If the Client does not cancel within the specified period before the expiration, the Subscription will renew automatically at the same price.

3.7 Availability of Subscriptions

Subscription offers and prices are valid as long as they are displayed on the Site. Ostora may modify offers at any time.

Article 4 – Order 4.1. Customer Account

To place an Order, the Client must register on the Site. By creating an account, the Client becomes a registered customer of Ostora. The Client is responsible for maintaining the confidentiality of their account credentials and for all activities under their account.

4.2. Order Steps

The Order process involves identification, form completion, consent confirmation, payment selection, and final payment. A confirmation email is sent upon successful payment.

Article 5 – Prices and Payment Methods 5.1 Prices

Prices are displayed in US dollars or Moroccan dirham, inclusive of taxes.

5.2 Payment Methods

Payments can be made by credit or debit card, with transactions secured through third-party services like STRIPE, PayPal, and Payzone. Ostora acts as an intermediary for processing payments for third-party services.

Article 6 – Proof of Order

Orders are recorded in Ostora’s system and retained as proof of the contractual relationship. Clients are advised to keep their order confirmation email.

Article 7 – Subscription Confirmation 7.1 Subscription Confirmation Process

Once the Order is validated and payment received, the Client will receive an email confirming the Subscription.

7.2 Inability to Activate the Subscribed Subscription

An Order cannot be placed without prior registration on the Site.

Article 8 – Prohibited Activities

The Client agrees not to offer prohibited products or services, including those related to alcohol, tobacco, hazardous materials, and weapons. Ostora reserves the right to terminate any Subscription that violates these rules.

Article 9 – Termination of Subscription 9.1 Conditions

The GTC remain effective from the Subscription start date until the end of the service, unless terminated earlier as outlined in these conditions.

9.2 Termination for Just Cause

Either party may terminate the Subscription if the other party breaches the GTC and fails to remedy the breach within a reasonable time.

9.3 Termination by the Client

The Client may terminate the Subscription by canceling it and deleting the account, with no refund for unused periods.

9.4 Effects of Termination

Upon termination, the Client’s Subscription and associated rights will end. The Client is responsible for exporting their data before termination, as Ostora may delete the data after a specified period.

9.5 Suspension of the Subscription

Ostora may suspend the Subscription if it believes there is a security risk, a violation of the GTC, or if payment obligations are overdue.

Article 10 – Insurance

The Client must maintain professional liability insurance covering their activities and indemnify Ostora against any claims arising from these activities.

Article 11 – Liability

Ostora’s liability is limited to the refund of non-compliant Subscriptions. Ostora is not liable for indirect damages, data loss, or interruptions to Site operations.

Article 12 – Customer Service

For questions regarding Subscriptions, Ostora’s customer support can be contacted via email or post, with details provided on the Site.

Article 13 – Cookies

Ostora uses cookies to enhance the User experience. Users can configure their browsers to refuse cookies, but this may limit access to certain features of the Site.

Article 14 – Personal Data

Ostora collects and processes personal data to manage Orders and improve services. Clients have the right to access, rectify, and object to the processing of their data by contacting Ostora.

Article 15 – Force Majeure

Ostora’s obligations may be suspended in the event of force majeure, including natural disasters, wars, or technical failures. If such events persist beyond 90 days, the Client may terminate the Subscription.

Article 16 – Intellectual Property

Ostora owns the intellectual property rights to the Site and its content. Unauthorized reproduction or use of these materials is prohibited and may result in legal action.

Article 17 – Entirety

The GTC represent the entire agreement between Ostora and the Client. If any clause is invalid, the remaining clauses remain in effect.

Article 18 – Applicable Law / Disputes

These GTC are governed by French law, with disputes resolved by the Tribunal de Grande Instance de Paris.
